What We Do
We significantly increase the value of our clients’ businesses and deliver that value whilst supporting the owners and their employees through the journey.
We help customers secure the businesses that will help them grow. We buy smart, seeing and unlocking additional value in an acquisition, taking the strain off our clients.
We ensure our clients’ businesses are at their peak value, and then find the right buyers. We sell smart, getting the best price whilst taking care of the hassle for our clients.
We manage complicated transformations for businesses to maximise their profitability. We deliver what is required through cultural changes whilst supporting employees.
We draw on many years of experience from our own journey. So regardless of whether a client is buying, selling or transforming a business, we make sure they achieve the best result possible, whilst keeping them safe and sane in the process!
MSA works with business owners, Boards and management teams to take a company to where they need to be for a sale, IPO, merger or future growth. This can include: detailed business evaluation; strategic acquisitions; organisational transformations; succession planning; or even a company sale and exit of the owner.
In a world of increasing complexity and opportunity, businesses are looking for new ways to achieve growth, value and business goals. So it’s our mission to support the owner, Board and or management team through whatever challenges they face to increase value, and have their back, their side and their front.
At MSA we take the time to understand our clients and the issues and challenges they’re facing. We use local, regional and global knowledge to help challenge any limitations and deliver strategies that work specifically for our clients’ needs. As such MSA was founded for two principle reasons.
We saw business owners not achieving the maximum value for their businesses and being traumatised through difficult sales processes, and decided to do something about it.
Our founder was determined to build a business based on delivering the highest customer service he could, whilst maintaining his personal values.
A client driven business
Our Managing Director ensures that everyone who works for MSA is equally as passionate about our clients as he is; so that we always deliver on our promises.
Bespoke solution for every client
Because every clients’ needs are different, so must every solution be individually thought through and delivered. There is no templated approach.
Because we have bought a lot of businesses, when we look to build value in a business, we do so through the eyes of a buyer as that is the ultimate test.
Stumbled and fallen
We have had our fair share of experience, good and bad. We have years of learning which we will share with you, to get you to where you want to be quicker and more effectively.
We have a strong moral compass and will not do something or advise something if it doesn’t fit with our values. For this reason, we are picky as to who we work with, because if our values don’t align, it won’t work for either of us.
Safe and sane
Because we take the time to truly understand our clients and their businesses, we can fully represent them when it comes time to sell their business. Dealing with the stress and challenge of buyers, due diligence and legals.
Graham Morgan, Founder and Managing Director
Graham has over twenty years’ experience working in senior line management leadership roles across both the public and private sector before deciding to set up his own business. His career included executive roles for large, international organisations in industries facing significant structural challenges such as Textiles, Media and Print. He has led many complex and challenging transformations involving managing the complex relationships between Private Equity, Banks, Independent Directors and Management.
He has personally bought and sold over 30 businesses, managing the process from beginning to end. He has been a key member in an IPO and led a business through a challenging receivership.
Graham is a Graduate of the Australian Institute of Company Directors, President of BNI Chapter, “Advance”, and chairs several Advisory Boards. He supports a number of causes and is a consistent participant of the CEO Sleepout to raise awareness and funds for the homeless.
Working directly with Boards and business owners, MSA identifies and manages acquisition opportunities that will deliver the right value and price to the client.
Our work on Advisory Boards is extensive and covers most of our services. Typically, services are delivered over several years and crafted to the client’s specific needs.
For most Boards and business owners, selling a business can be emotional and challenging. We keep our clients ‘safe and sane’ by managing the process end to end.
We work with businesses to understand the key drivers for change and then create and deliver a plan to move them through the challenges of transformation.
Coaching & mentoring for owners
As part of our Advisory Board process, we provide 121 support for our clients through the many challenges they face and provide an experienced and safe sounding board.
Whilst detailed financial and legal due diligence are critical, value lies in many areas. Because we have run many businesses ourselves, we go far beyond the obvious.
Integration, planning & execution
With experienced planning and execution, Morgan Shaw Advisory can significantly increase the chances of a successful acquisition, merger or business sale.
Sometimes a sale isn’t quite right or there is more value in a merger. These can be tricky and businesses need expert technical and ‘social’ advice before committing.
As part of our Advisory Board structure, we build a strategic plan for our clients to significantly grow the value of their business and bottom line across the organisation.
What Our Clients Have to Say
‘Graham is a great person, who drives strategic transaction solutions in a highly dynamic environment. While he does have an eye for deal breakers and challenges, his capabilities are reaching beyond the technical expertise into the ‘human factor’. I rarely came across someone who knows how to convince people within a transaction scenario so smoothly and who make this mostly painful journey an enjoyable one. Excellent!’
– Managing Director
‘I have no hesitation about recommending Graham Morgan for his skill in mergers and acquisitions. During the process of selling our business we felt that Graham at all time acted with great integrity, foresight, consultative manner and was realistic with timings. Importantly we always felt that he was not only interested in the best outcome for the purchaser but also ensuring it was a win/win for us. Post completion of the sale Graham remained in touch with us to ensure that we had no hiccups or any barriers that would impede us being able to achieve our sales targets.’
– Business Owner
‘I admire Graham’s leadership through the course of structurally challenged markets and recommend his skills in business transformation, change management, strategy and M & A’.
– Chief Financial Officer (Top 100 ASX listed company)
‘I have known Graham for a number of years and cannot speak highly enough of him. Graham is one of ‘the good guys’ whose business ethics are of the highest order. Integrity is also one of Graham’s strong points – what he says, he always does’.
